Terms of Service

1. Introduction

Welcome to Nsight Intelligence, Corp. ("Nsight," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our unified data intelligence and decision automation platform (the "Platform"). By accessing or using Nsight, you ("Customer," "you," or "your") agree to these Terms, which constitute a legally binding agreement between you and Nsight.

Nsight reserves the right to update or modify these Terms at any time. If we make material changes, we will notify you via email or through the Platform. Your continued use of Nsight after such changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

2. Eligibility & Account Registration

  • Nsight is a business-to-business (B2B) platform designed primarily for product and design teams but not limited to.

  • You must be at least 18 years old to create an account and use the platform.

  • Customers may only register for Nsight using corporate or business email addresses; personal email addresses (e.g., Gmail, Yahoo) may not be used for account registration.

  • You may not access or use Nsight if you are located in a restricted country under U.S. law. These restricted countries include, but are not limited to, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine. Customers must ensure that their employees, contractors, or other representatives do not access Nsight from such countries. It is the responsibility of the Customer to stay informed about any changes to U.S. sanctions and compliance requirements.

  • Customers must provide accurate, current, and complete information during account registration and keep such information updated.

  • Each Customer is responsible for all activities occurring under their account and must take reasonable steps to secure their credentials.

3. Intellectual Property Rights

  • Nsight and its licensors own all rights, title, and interest in and to the Platform, including but not limited to software, code, algorithms, user interfaces, documentation, and visual designs.

  • Customers retain ownership of their data input into the Platform; however, Nsight owns all synthesized data, defined as the tagged user issues, insights, and recommendations generated through Nsight’s proprietary analysis and processing of provided data.

  • Customers may not copy, modify, distribute, sell, or lease any part of Nsight’s intellectual property without explicit permission.

  • Any feedback provided to Nsight may be used for improvements without compensation.

  • Customers agree not to use Nsight’s intellectual property, trademarks, or branding without prior written consent.

4. Service Level Agreement (SLA)

  • Nsight aims to provide 99.5% uptime except during scheduled maintenance or unexpected outages beyond our control.

  • Planned maintenance will be communicated at least 48 hours in advance.

  • Emergency maintenance may occur without notice, and Nsight will make reasonable efforts to minimize downtime.

  • Nsight does not guarantee uninterrupted access and is not liable for service interruptions beyond its control.

5. Confidentiality

  • Both Nsight and Customers agree to maintain confidentiality of any proprietary or sensitive information exchanged.

  • Confidential information does not include publicly available information, independently developed insights, or data legally acquired from third parties.

  • Nsight may disclose confidential information if legally required but will attempt to notify the Customer beforehand unless prohibited.

  • Customers agree to take all reasonable precautions to protect Nsight’s confidential information.

6. Fees & Payment Terms

  • Nsight operates on a subscription model.

  • Trial Period: Customers may enroll in a trial for $1 per seat, per month, for a maximum of 30 days.

  • After the trial, accounts automatically upgrade to the Starter Tier unless canceled. Customers will receive a 7-day notice before this change.

  • Payments are processed through Stripe and must be made via a valid credit card or another Stripe accepted payment method.

  • Refund Policy: Nsight does not offer refunds for any payments made, including subscription fees.

  • Late Payments: If payment is not received within 14 days of the due date, Nsight reserves the right to suspend or terminate access to the Platform.

  • Subscription Cancellations: Customers may cancel their subscription at any time, but no refunds will be issued for unused periods.

7. Privacy & Data Handling

  • Nsight stores customer data from integrations on secure cloud providers such as AWS, Google Cloud, Azure, or Heroku.

  • Nsight is not currently certified under GDPR or CCPA, but we are committed to aligning our data protection practices with the requirements of these regulations.

  • We use Unified, a SOC2 Type2-compliant service, to handle data integrations.

  • Customers are responsible for obtaining any necessary consents for data shared via integrations.

  • Subprocessor List: Nsight utilizes third-party services, including Auth0, AWS, Heroku, Azure, Stripe, and Unified, to provide services.

8. Warranty Disclaimers

  • Nsight is provided "as is" and "as available" without warranties of any kind.

  • Nsight does not guarantee that the Platform will meet all Customer needs, operate without interruptions, or be error-free.

  • To the extent permitted by law, Nsight disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Export Control

  • Customers agree not to use or distribute Nsight in violation of applicable U.S. export laws.

  • Nsight may not be used for military, defense, or sanctioned government entities.

10. Third-Party Services

  • Nsight integrates with external applications through Unified.

  • Customers using third-party integrations are subject to the respective terms of those services.

  • Nsight is not responsible for third-party services’ actions or data processing.

11. User Conduct

  • Customers may not:

    • Transmit malware, spam, or unauthorized automated queries.

    • Engage in abusive, harassing, or deceptive behavior.

    • Overburden the platform’s infrastructure through excessive API calls or data ingestion.

12. Limitation of Liability

  • To the fullest extent permitted by law, Nsight shall not be liable for any indirect, incidental, special, or consequential damages arising from:

    • Use or inability to use the Platform.

    • Errors in AI-generated insights or recommendations.

    • Unauthorized access to customer data.

  • Nsight’s total liability for any claim shall not exceed the amount paid by the customer in the previous 12 months.

13. Indemnification

  • Customers agree to defend, indemnify, and hold harmless Nsight, its affiliates, and employees from any claims, liabilities, or damages arising from:

    • Customer’s violation of these Terms.

    • Misuse of the Platform.

    • Unauthorized use of third-party integrations.

14. Governing Law & Dispute Resolution

  • These Terms shall be governed by the laws of the State of Delaware.

  • Disputes shall be resolved through binding arbitration in San Francisco, CA, or New York, NY.
